Centre for Business and Commercial Laws

The Centre for Business and Commercial Laws was established in 2008 at the National Law Institute University, Bhopal (NLIU) as a ‘Centre of Excellence’​, with the aim of generating awareness and facilitating research in the field of business and commercial laws.

It provides several avenues to the students to explore the realm of business andcorporate laws and develop the foundations required to be a successful practitionerin the field. CBCL undertakes a variety of engagements with the corporate world tofurther this aim and foster interest and aptitude among students for business andcommercial laws.

In 2017, we started ‘The CBCL Blog’ which invites submissions from students and practitioners on issues relevant to the areas of corporate law, law of arbitration, insolvency law, taxation law, and sports law. So far, the CBCL Blog has received positive reviews and feedback from the legal fraternity. It holds the distinction of being one of the oldest running corporate law blogs in India, with over a hundred published posts from students and practitioners.

The flagship event of CBCL is the NLIU-Trilegal Summit on Corporate & Commercial Laws. The previous three editions of the Summit focusing on key issues pertaining to mergers and acquisitions, in 2016, 2017 and 2018 were a resounding success, witnessing submissions and participation by law students from across the country.

This Summit has been a one-of-a-kind endeavour between the organising body – the CBCL in NLIU and Trilegal,which is one of the most reputed and prestigious law firms in India. NLIU and Trilegal planned this exerciseduring which we try to contribute to the growth of knowledge and research in the field of business andcommercial laws while increasing the awareness and aptitude of students in these fields. The Summit alsoprovides a unique opportunity for students, industry practitioners, and regulatory experts to interact on theseissues, pertaining to various disciplines of corporate and commercial laws.The Summit witnesses 15 paper presentations on various topics selectedafter a rigorous process of selection which are then published in the commemorative Summit Book. In 2018, the Summit was expanded to include corporate and commercial Laws attracted over 110+ contributions, and was conducted with Mr. Yogesh Singh (Partner, Trilegal), Mr. Ramakant Rai (Partner, Trilegal) amongst the panellists. The event is supported by Eastern Book Company (EBC) as the Media Partner and Publishing Partner for the Summit Book.The 5th edition in 2019 was held on 30th and 31st August 2019.

CBCL also collaborates with Khaitan & Co to organise the NLIU – Khaitan Workshop on Corporate Laws, in organising a two-day workshop which was held in February 2018 and 2019. In the last two editions, Mr Ashish Razdan and Mr Vineet Shingal, Partners at Khaitan & Co along with Ms Shreya Dua, Senior Associate, discussed and interacted with students over important deal structures, transaction documents, Due Diligence and FEMA Regulations, conducted the course.In the past, CBCL has also conducted the NLIU-TRA (Now Ikigai Law) Contract Drafting & Negotiation Competition.

In 2019, the CBCL launched the inaugural edition of the NLIU Journal of Business Laws, a student-run, annual, and peer-reviewed Journal devoted to the fieldof corporate and commercial laws.

In its first Volume, this student helmed publicationhas sought tocultivate a style of scholarship that explores both the theoretical and the practical concerns of thelegal world. To ensure this, it has consistently employed stringent evaluation techniques withemphasis on contemporaneity, critical thinking, originality and lucidity of prose.The Journal also features prominent names from the legal fraternity in the Board of Advisors including – Mr Ajeet N. Mathur (Professor of Business Policy, IIM Ahmedabad), Mr SomshekharSundaresan (Advocate and Independent Legal Counsel),  Mr Vikram Raghavan (Lead Counsel, World Bank), Mr Vinod Kothari (Founder, Vinod Kothari Consultants) and MrUmakanthVarotill (Associate Professor, National University of Singapore) among others.

The upcoming first Volume revolves around various themes related to Business Laws, wherein authors havedelved into topics such as whether inclusion of women in the boardroom is a reality or a mirage,aspects of good forum shopping in relation to cross border insolvency, enforceability of non-compete clauses in employment contracts fake rolex, hostile takeover and related defence mechanismsdiscussing further L&T-Mindtree saga, innovation being treated as a yardstick in merger controlanalysis, non-performing assets and the challenges so forth for the Indian banking industry,proper court rule and powers with tribunals to grant interim relief under The Arbitration Act,1996.
